1. Agreement to these Terms
These Terms of Service (“Terms”) are an agreement between Rozana (“Rozana,” “we,” “us,” or “our”) and the business that signs up for or uses the Rozana platform at app.example.com and related services (the “Service”) (“Customer” or “you”). They also cover use of our website, example.com.
By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of your business, and you confirm that you are at least 18 years old and have authority to bind it. If you sign an order form or other written agreement with us, that agreement controls where it conflicts with these Terms.
Our Privacy Policy explains how we handle personal information and is part of these Terms.
2. The Service
Rozana is a store operations platform and your store’s system of record. Depending on your plan and the modules you enable, it includes the dashboard, inventory (item catalog, stock ledger, counts, low-stock alerts, vendor mapping, purchase orders, delivery receiving with receipt scan, price comparison, and customer requests), closeout, lottery, time clock and payroll, finance, surveillance, the AI assistant, and multi-store management.
Some features need things you provide, such as compatible cameras or recorders, scanners, displays, a reliable internet connection, or an account with a connected point-of-sale system. Real-time updates depend on network connectivity.
We may offer early-access or beta features. They are provided as they are, may change or be withdrawn, and are excluded from any service commitments.
3. Accounts and users
- You are responsible for the people you invite, the roles and permissions you give them, and everything done under your account.
- Keep sign-in credentials and PINs confidential, and tell us promptly at [email protected] if you suspect unauthorized access.
- Give us accurate account information and keep it current.
4. Your data
You own your data. As between you and Rozana, you keep all rights to the information you and your users put into the Service, and to the records the Service creates for your store (“Customer Data”).
You give us a limited permission to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service, to follow your instructions, and as described in our Privacy Policy. We may use aggregated, de-identified statistics that do not identify you, your store, or any individual to operate and improve the Service. We do not sell Customer Data, and we do not use it to train AI models.
You confirm that you have the rights to the Customer Data you provide and have given any notices and obtained any consents the law requires, including for your employees, your customers, and any camera recording.
You can export Customer Data while your account is active and for 30 days after it ends. After that, we delete it as described in our Privacy Policy.
5. Support access
Rozana staff have no standing access to your store. When you want help, an owner can grant support access for a limited time (1 to 72 hours). Access ends automatically and can be revoked early, and every entry is recorded in a log you can review. Outside a grant, we access Customer Data only where strictly necessary to keep the Service secure and working, or where the law requires it.
6. Acceptable use
You agree not to, and not to let anyone else:
- use the Service in violation of any law or regulation, or to infringe anyone’s rights;
- record, monitor, or process information about people unlawfully, including placing cameras where the law prohibits them or recording audio without the consent the law requires;
- upload malware or anything harmful, or try to gain unauthorized access to the Service, other stores’ data, or our systems;
- probe, scan, or test the Service’s security without our written permission, or interfere with its operation;
- copy, resell, or sublicense the Service, or reverse engineer it except where the law allows;
- scrape the Service or use it to build a competing product; or
- put full payment card numbers, health records, or other highly sensitive information into the Service except where a feature is designed for it.
7. Integrations and third-party services
The Service can connect to third-party products, such as Clover point-of-sale systems and compatible cameras or recorders. Your use of those products is governed by their own terms, and you authorize us to exchange data with them as needed for the integration you enable. We are not responsible for third-party products, their availability, or changes they make that affect an integration.
8. Lottery, payroll, finance, surveillance, and AI features
- Lottery. Rozana is not affiliated with, endorsed by, or acting for the New York State Gaming Commission or the New York Lottery. Game listings, draw results (including Pick 3 and Pick 4), and display content may be delayed or contain errors. Official lottery results and your official lottery terminal records control. You remain responsible for complying with your lottery retailer agreement.
- Time clock and payroll. The Service helps you record time and calculate pay, but Rozana is not your payroll provider, employer of record, or tax adviser, and does not file taxes or send payments for you unless we agree to in writing. You are responsible for wages, withholding, tax filings, recordkeeping, and compliance with employment laws.
- Finance and reports. Financial summaries, profit and loss, and cash positions are for information. They are not accounting, tax, or legal advice.
- Surveillance. Camera features require compatible equipment and correct configuration. Rozana does not monitor your video and is not an alarm or emergency service. You are responsible for lawful use of cameras, required notices, and keeping recorder credentials secure.
- AI assistant and suggestions. AI answers, receipt-scan suggestions, and other automated outputs can be incomplete or wrong. Review them before you rely on them or confirm a change.
9. Fees and payment
Paid plans are billed in advance for each store and billing period, at the prices in your order or plan. Unless the law or these Terms say otherwise, fees are non-refundable. Prices do not include taxes, which you are responsible for. If an invoice is overdue, we may suspend the Service after giving you notice. We may change prices by telling you at least 30 days before your next renewal.
10. Term, suspension, and termination
These Terms apply for as long as you use the Service. Either of us may end your subscription at the end of a billing period. Either of us may end it sooner if the other materially breaches these Terms and does not fix the breach within 30 days of notice.
We may suspend access immediately if needed to prevent harm to the Service, other customers, or anyone else, or if required by law, and we will restore access once the issue is resolved.
When your subscription ends, your right to use the Service stops, and you can export Customer Data for 30 days. Sections that by their nature should survive (including data, fees owed, disclaimers, limits of liability, indemnity, and governing law) survive.
11. Intellectual property and feedback
Rozana and its licensors own the Service, the Site, and everything in them other than Customer Data, including software, designs, and trademarks. These Terms do not transfer any of those rights to you. If you send us suggestions or feedback, we may use them without obligation to you.
12. Confidentiality
Each party will protect the other’s non-public business information that it receives in connection with the Service with at least reasonable care, use it only for the purposes of these Terms, and share it only with people who need to know it and are bound to protect it. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or rightfully received from someone else. A party may disclose information when the law requires, after giving notice where allowed.
13. Disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, the Service and the Site are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted or error-free.
14. Limitation of liability
To the fullest extent the law allows, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised that they were possible.
To the fullest extent the law allows, each party’s total liability arising out of or relating to these Terms will not exceed the fees you paid to Rozana in the 12 months before the event giving rise to the claim.
These limits do not apply to your payment obligations, to either party’s indemnity obligations, or to liability that cannot be limited by law.
15. Indemnification
You will defend and indemnify Rozana against third-party claims arising from Customer Data, your use of the Service in violation of these Terms or the law, or your use of cameras and other equipment. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights. The party seeking indemnity must give prompt notice, reasonable cooperation, and control of the defense to the other.
16. Governing law and disputes
These Terms are governed by the laws of the State of NJ, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in NJ, and each party consents to the personal jurisdiction of those courts. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally for 30 days after written notice.
17. Changes to the Service and these Terms
We improve the Service continuously and may add, change, or remove features. We will not materially reduce the core functionality of a paid plan during a billing period you have paid for.
We may update these Terms. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
18. General terms
- Entire agreement. These Terms, any order form, and the policies they reference are the entire agreement between us about the Service.
- Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in a merger, acquisition, or sale of substantially all of its assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We send notices to the account owner’s email address. You can send notices to [email protected] and to TEST.
- Electronic communications. You agree to receive agreements, notices, and other communications from us electronically.
- Other terms. If a provision is unenforceable, the rest remain in effect. Failing to enforce a provision is not a waiver. The parties are independent contractors, and there are no third-party beneficiaries.
